AI GLOBAL LIMITED – TERMS AND CONDITIONS FOR BOOKING OF SERVICES
1. Definitions
These Terms and Conditions (the “Terms”) apply to all bookings for advertising, advertorials, sponsorships, and event-related table or seat reservations (collectively, the “Services”) provided by IAI GLOBAL LTD, a company registered in England and Wales (company number: [insert number]) with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ (“IAI GLOBAL LTD”, “we”, “us”).
Unless otherwise agreed in writing by IAI GLOBAL LTD, these Terms constitute the entire agreement between IAI GLOBAL LTD and the party booking the Services (“you”, “the Advertiser”, or “the Client”), to the exclusion of any other terms, including those presented at the time of booking or payment.
Definitions:
- Advertiser: The individual or organisation purchasing advertising, including agencies and intermediaries.
- Advertising Copy: All materials, content, and promotional copy submitted for publication.
- Publication: Any print or digital media published by IAI GLOBAL LTD.
- Digital Versions: Publications in electronic format viewable on devices.
- Premium and Premium Plus: Enhanced advertising packages, e.g., video, cover positioning, or interactive features.
- Production Work: Any creative or formatting services rendered by IAI GLOBAL LTD.
- Press Date: The final deadline for Advertising Copy submission.
- Rate Card: The prevailing pricing schedule issued by IAI GLOBAL LTD.
- Technical Specifications: Requirements for advertising submissions, as updated periodically.
2. Rates, Charges, and Intellectual Property
- All Rates are exclusive of VAT. Rates may be revised by IAI GLOBAL LTD with not less than 90 days’ written notice.
- Production Work is charged at £375 per hour plus VAT.
- All intellectual property rights in Production Work remain the sole property of IAI GLOBAL LTD unless expressly assigned in writing. Usage is limited to the agreed publication.
- Where Advertising Copy is not submitted in the required format or orientation, IAI GLOBAL LTD reserves the right to reformat at additional cost.
- Premium or bespoke packages are subject to separate quotation and approval.
3. Orders and Cancellations
- A binding agreement arises only upon IAI GLOBAL LTD’s written confirmation. The Rate Card does not constitute an offer.
- No cancellation shall be accepted within six (6) months of the Publication Date. Cover advertisements and advertorials are strictly non-cancellable.
- Any discrepancy in booking confirmation must be notified in writing within seven (7) days.
- Bookings are specific to selected Publications and formats (print, digital, PDF). Opt-outs apply universally.
4. Advertising Copy Submission
- Print Advertising: All materials must meet IAI GLOBAL LTD’s technical specifications. If materials are not received by the Press Date, IAI GLOBAL LTD may use previous content or extract content from your website, incurring a fee of £1,974 + VAT.
- Digital Advertising: All tablet-ready content must comply with our Digital Material Specifications. Non-compliant content may be substituted with existing or web-sourced materials at a fee of £1,974 + VAT.
- IAI GLOBAL LTD is under no obligation to review or edit submitted materials. Responsibility for legal compliance rests solely with the Advertiser.
- All materials are retained at your risk and destroyed after two (2) months unless otherwise arranged.
5. Payment Terms
- Invoices are payable within seven (7) days of the invoice date unless otherwise agreed.
- Late payments will accrue interest at 8% per annum above the Bank of England base rate, under the Late Payment of Commercial Debts (Interest) Act 1998.
- New clients are required to prepay for their first three advertising insertions.
6. Warranties and Indemnities
- The Advertiser warrants that all content:
- Complies with applicable laws, the UK Code of Non-broadcast Advertising (CAP Code), and any relevant industry standards;
- Does not infringe third-party rights or contain misleading, defamatory, or unlawful content;
- Complies with all regulatory requirements, including financial promotion regulations.
- IAI GLOBAL LTD reserves the right to reject or remove any Advertising Copy at its absolute discretion.
- The Advertiser agrees to fully indemnify and hold harmless IAI GLOBAL LTD against all losses, claims, and liabilities arising from the publication or content of the Advertising Copy.
7. Event Table/Seat Bookings
- Event bookings are confirmed upon submission of a completed booking form and payment.
- No refunds will be issued after fourteen (14) days of booking. Substitutions may be accepted with prior notice.
- IAI GLOBAL LTD may modify the format, date, or location of events due to circumstances beyond its control (e.g., strikes, public emergencies). No refunds shall be issued for such changes.
- Bookings are non-transferable without prior written consent.
- The Client shall indemnify IAI GLOBAL LTD for any loss or damage caused by their or their guests’ conduct at an event.
8. Anti-Bribery and Compliance
- Both parties shall:
- Comply with the Bribery Act 2010 and all applicable anti-bribery laws;
- Follow IAI GLOBAL LTD’s internal anti-corruption and compliance policies;
- Immediately report any suspected bribery.
- A breach of this clause shall constitute a material breach of these Terms.
9. General Provisions
- No third party shall have rights under the Contracts (Rights of Third Parties) Act 1999.
- Any variation to these Terms must be in writing and signed by both parties.
- If any provision is deemed unlawful or unenforceable, it shall be severed and the remaining provisions shall remain valid.
- IAI GLOBAL LTD reserves the right to publicly disclose its relationship with you (e.g., for PR or promotional purposes).
- Both parties agree to comply fully with data protection laws, including the Data Protection Act 2018 and UK GDPR.
10. Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of England and Wales.
- The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising from or in connection with these Terms.
- Parties agree to attempt to resolve disputes amicably and in good faith prior to the commencement of litigation, including through mediation or other alternative dispute resolution procedures within 30 days of notice.
